1. Parties
This Master Service Agreement (“Agreement”) governs all services provided by Agentic Hook (“Agency”) to any purchasing client (“Client”), collectively referred to as the “Parties.”
2. Scope of Services
This Agreement applies to all services purchased from the Agency, including but not limited to:
Included Services
- AI & Digital Marketing Consulting
- Paid Advertising Campaigns (across Google, Meta, Amazon, etc.)
- Graphic Design (including campaign creatives, banners, and presentation visuals)
- AI Avatar Videos (including scripting, avatar generation, voice-over, and editing)
- Website Development (WordPress/Shopify) with up to 3 pages, up to 1000 words of content per page, and up to 5 custom graphic banners
The specific scope of work (“SOW”) for each purchase shall be clearly defined at the time of order on the payment confirmation page or in a separate written communication (e.g., email), detailing measurable deliverables, timelines, and pricing.

- Managing, Scheduling & Posting on Facebook, Instagram & LinkedIn or other platforms
- Strategic Content Calendar

3. Client Responsibilities
The Client agrees to:
- Provide company logos and other marketing materials when requested.
- Communicate and respond in a timely manner to avoid delays.
- Be proactive and timely in implementing strategies and tactics agreed by both Parties.
- Ensure any creative materials provided do not infringe third-party rights.
4. Payment Terms
- Full payment for one-time services and each retainer period is required upfront prior to commencement of work, unless otherwise agreed in writing.
- Invoices shall reflect the applicable amount in the Client’s local currency, in compliance with Indian tax laws. For cross-border clients, invoices will reflect the INR equivalent as per RBI reference rate, and services are classified as ‘Export of Services’ under GST. GST will not be charged if conditions for export are met.
- Services commence only after payment is received and confirmed, unless otherwise specified in the applicable product plan or terms.
- All applicable taxes, including GST, will be charged as per law and reflected in the invoice.
- Any additional services agreed in writing shall be invoiced separately.
5. Term & Renewal
- Services commence on the date payment is confirmed and continue for the duration specified in the SOW.
- Service periods do not auto-renew unless explicitly agreed in writing.
- Renewals require a new order to be placed.
6. Refunds & Cancellations
- All sales are final. No refunds shall be issued for completed work or partially used service periods.
- Either Party may terminate this Agreement upon written notice within fifteen (15) days.
7. Confidentiality
Each Party agrees to maintain the confidentiality of all sensitive information received from the other Party, including figures, data, sales projections, budgets, and reports. Confidential information shall not be disclosed to third parties except as expressly permitted herein, or as required by law, after prior consultation with the other Party. Obligations of confidentiality shall not apply to information already in the public domain, in possession of the receiving Party prior to disclosure, or disclosed by legal order.
8. Intellectual Property
- The Client retains ownership of all original materials they supply.
- The Agency grants the Client a non-exclusive, non-transferable license to use the specific deliverables solely for their business purposes.
- The Agency retains all rights to its pre-existing intellectual property, methodologies, and tools.
9. Indemnity
The Client agrees to indemnify, defend, and hold harmless the Agency from any claims, damages, or expenses, whether asserted by the Agency itself or by a third party, arising from the Client’s misuse of the deliverables, data privacy violations, copyright infringement, or breach of this Agreement.
10. Limitation of Liability
The Agency’s total liability to the Client shall be limited to the fees paid by the Client for the specific service giving rise to the claim. The Agency shall not be liable to the Client or to any third party for indirect, incidental, or consequential damages.
11. Governing Law, Jurisdiction & Dispute Resolution
This Agreement shall be governed by the laws of India. All disputes shall first be resolved through binding arbitration in Mumbai, India under the Indian Arbitration & Conciliation Act. The decision shall be final and enforceable. The courts of Mumbai shall have exclusive jurisdiction for all matters.
12. Data Protection
The Agency shall handle any personal data in compliance with applicable data protection laws, including GDPR and CCPA, as applicable.
13. Force Majeure
Neither Party shall be held liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to natural disasters, pandemics, or governmental actions.
14. Entire Agreement
The Client acknowledges that these Terms, together with the Privacy Policy and Cookie Policy, constitute the entire Agreement between the Parties and supersede all prior discussions. If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in force.
15. Marketing & Case Studies
The Client authorizes Agentic Hook to use the Client’s name, logo, and non-confidential performance statistics or results for the Agency’s and the founder’s own marketing purposes, including but not limited to website, social media, presentations, and case studies, provided no sensitive or proprietary information is disclosed.
16. Acceptable Use & Content Moderation
The Client shall not use the AI Avatar Videos or Services to create, distribute, or promote harmful, illegal, or unethical content, including but not limited to harassment, impersonation without consent, sexually explicit material, hate speech, fraudulent schemes, or deceptive practices. Agentic Hook reserves the right to refuse to create or deliver content that, in its sole discretion, violates applicable laws, ethical standards, or this Agreement.
17. Consent for Avatars
For any custom avatars or videos depicting real individuals, the Client represents and warrants that it has obtained the explicit, written consent of such individuals to create, use, and distribute their likeness. The Client shall indemnify and hold harmless Agentic Hook from any claims arising out of failure to obtain such consent.
18. Data Privacy & Compliance
Agentic Hook adheres to applicable data protection laws, including GDPR and CCPA, and maintains appropriate safeguards for all personal data processed as part of the Services. Client acknowledges that it is responsible for ensuring its own compliance with applicable privacy and disclosure laws when using the Services.
19. AI Training Data (Optional Opt-Out)
Agentic Hook may use anonymized client inputs and outputs to improve its AI models and services. Clients may opt-out of such usage by submitting a written request to the Agency.
20. AI Transparency & Disclosure
Client agrees to comply with all applicable disclosure laws regarding the use of synthetic or AI-generated content, including notifying end users that such content is AI-generated where required by law.
21. Marketing, Cookies & Disclosures
The Client acknowledges and agrees to the use of cookies and similar technologies as outlined in Agentic Hook’s Cookie Policy, which is incorporated herein by reference.
22. No Guarantees or Warranties
While we apply professional care and use cutting-edge tools, our services operate in dynamic environments like digital platforms and AI algorithms. We do not offer guarantees or warranties, explicit or implied, on outcomes, performance, or availability. This is not due to lack of intention, but because results may depend on factors beyond our control (such as algorithm changes, third-party policies, or content provided).
23. Nature of Service
Agentic Hook offers AI-powered content, website development, and advertising consultancy tailored for modern digital needs. These services are designed to assist, not replace, human decision-making.
